Terms of use

 

1. INTRODUCTION

Welcome to Takers, a mobile app operated by Takers and Paragraph Limited (“we,” “our,” or “us”). Takers is a platform that connects people who require services (“Posters”) with the service providers (“Takers”). We provide a secure environment that facilitates finding, communicating, and paying for services.

By using Takers, you agree to these Terms, which form a legally binding agreement between you and us. If you do not agree to these Terms, please do not use the app

2. DEFINITIONS

“App” or “Platforms” means this mobile application operated by Takers and Paragraph Limited.

“Fee” means a commission or convenience fee deducted by the Platform from the total Fare or paid separately by Users for facilitating a Trip.

“Poster” means a registered User of the App who requires the services of a Taker.

“Takers” means a registered User of the App who provides services to Posters.

“User," "Users," or "You" means any individual or legal entity who registers on the Platform either as a Poster or Taker.

“Your account", “Account” means the account the user registered, in order to use the App. 

3. AGREEMENT TO TERMS

By accessing, downloading, installing, or using this App, or any related services (collectively, the “Service”), You acknowledge that You have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other applicable policies referenced herein. If You do not agree to these Terms, you must not use or access the Service.

You represent and warrant that You are at least 18 years of age and have the legal capacity and authority to enter into these Terms. If You are using the Service on behalf of an organization, you represent and warrant that You have the authority to bind that organization to these Terms.

4. OUR RIGHTS

All rights, titles and interests in and to the Services are and will remain the exclusive property of Takers and Paragraph Limited. The Services are protected by copyright, trademark, and other laws of the Federal Republic of Nigeria. Nothing in the Terms gives You a right to use Our name (including Our subsidiaries) or any of Our trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions You may provide regarding Us, or the Services is entirely voluntary, and We will be free to use such feedback, comments, or suggestions as We see fit and without any obligation to You. 

 

5. WHAT TAKERS IS (AND ISN’T)

We are a connector, not an employer. We simply provide the technology and payment tools that make it easy for Posters and Takers to find and work with each other.

We are an independent service provider. We don’t employ, manage, or supervise Takers. Each Taker is responsible for how they complete their work.

We don’t guarantee outcomes. Because we don’t control Takers, we can’t promise that a task will be done to your expectations. However, our system is designed to help resolve issues fairly.

Contracts are between Users. When a Poster accepts a Taker’s offer, they’re forming a direct contract between themselves, not with Takers as a company.

6. CREATING AN ACCOUNT

To access and use any of the services, all Users must create an account on the App. During registration, Users are required to provide accurate and complete personal information such as full name, email, phone number, or social login subject to verification processes by our third-party vendor to ensure authenticity.

Additionally, we may ask for more information for verification and authentication (e.g. valid means of Identification or selfie) through our third-party vendor to ensure safety and trust.

 

You agree to use the App and its Services only for lawful purposes and in compliance with all applicable laws and regulations. You must not use the App to engage in any illegal, fraudulent, or harmful activities, including but not limited to the sale and purchase of unlawful content.

You are responsible for ensuring timely payment of all applicable fares and fees for the Services you use. Payments must be made through our approved payment methods. Failure to pay may result in account suspension or additional collection actions.

7. HOW IT WORKS

A User may function as both a Poster and a Taker, enabling them to post a task for completion and undertake tasks posted by others, either simultaneously or at different times, thereby maximizing flexibility and engagement within the platform

Here’s how a typical Take works:

I. Poster creates a Take – includes details, budget, and deadline.

II. Takers submit offers – with price and message.

III. Poster accepts one offer – once accepted, payment goes into escrow.

IV. Taker starts work – marks it as “Started.”

V. Taker completes the task – marks it as “Completed.”

VI. Poster reviews and releases payment – money goes from escrow to the Taker’s wallet.

8. PAYMENTS AND ESCROW

I. All payments are processed through our secure escrow system, powered by Paystack (or another licensed payment partner).

II. When a Poster accepts an offer, the payment is held in escrow.

III. Funds are released to the Taker only when the Poster approves the work or when the system auto-approves after the review window expires.

IV. Takers and Paragraph Limited does not hold funds directly. Instead, all payments are securely held in an independent escrow account until the agreed task is satisfactorily completed. This escrow system protects both Posters and Takers by ensuring that funds are only released when the service is delivered to the Poster’s satisfaction, thereby guaranteeing fairness and security for all parties involved.

Fees:

Takers charges a percentage-based service fee per transaction (no monthly or annual subscriptions). Fees are deducted automatically before funds reach the Taker’s wallet.

9. CANCELLATIONS, REFUNDS, AND DEADLINE EXTENSIONS

i. Before the commencement of the Service

• Posters can cancel within 1 hour after accepting a Taker, no fees will be charged.

• After 1 hour but before work starts, a flat cancellation fee applies (Taker is not compensated).

ii. After Work Has Started

• If a Poster cancels after a Taker has marked a Take as “Started,” a percentage-based fee applies to compensate the Taker.

iii. Missed Start or Deadline

• If a Taker fails to start before the deadline, 

o They’ll get a 1-hour reminder and a 6-hour grace period.

o After that, the Poster may cancel or extend the deadline.

• If cancelled due to a missed start, the Poster will get a refund after 12 hours (to allow for any disputes).

iv. Deadline Extensions

• Takers can request an extension if they need more time.

• Posters can approve or decline the request.

• If declined, the original deadline still applies

v. Refunds

Refunds are processed automatically to the original payment method once approved or when a Take is cancelled under the refund rules above.

Example:

A Poster hires a Taker to paint a room. The deadline is Sunday 6 PM.

• If the Taker hasn’t started by 6 PM, the app reminds them.

• At 12 AM (after 6 hours), the Poster can cancel or extend.

• If cancelled, the Taker isn’t paid, and the Poster gets a refund the next morning.

 

10. PROHIBITED ACTIVITIES

To ensure a safe, reliable, and trustworthy environment for all Users of the App, the following activities are strictly prohibited. Any User found to be engaging in these activities may face immediate suspension, termination of their account, legal action, or any other remedies deemed necessary by us:

i. Using the Platform or any authorized third-party vendor platform to facilitate, promote, or engage in any unlawful or fraudulent activity, including but not limited to offering or requesting illegal services, goods, or products.

ii. Providing false, misleading, incomplete, or inaccurate information during registration, profile creation, service requests, offers, or any communications conducted through the Platform.

iii. Manipulating, falsifying, or attempting to manipulate service requests, quotes, pricing, payment details, or communications to gain unfair or unauthorized financial or other benefits.

iv. Engaging in harassment, intimidation, discrimination, abusive language, threats, or any conduct that harms, offends, or discriminates against other Users.

v. Using vulgar, obscene, defamatory, hateful, or otherwise offensive language or content in any communication within the Platform.

vi. Attempting to offer or provide services without the necessary qualifications, licenses, permits, or authorizations legally required for such services.

vii. Engaging in unsafe, negligent, reckless, or unprofessional conduct when providing or receiving services via the Platform.

viii. Soliciting or accepting payments, gratuities, donations, or any form of compensation outside the secure payment mechanisms provided by us.

ix. Attempting to bypass, manipulate, or interfere with the third-party platform or thePlatform’s payment system, including using stolen, unauthorized, or fraudulent payment methods.

x. Refusing or failing to pay for services lawfully rendered through the Platform.

xi. Sharing or requesting personal, confidential, or sensitive information outside authorized Platform features or secure communication channels, in ways that compromise privacy, safety, or violate applicable data protection laws.

xii. Creating multiple accounts, impersonating others, or acting in any way to deceive or mislead the Platform or its Users.

xiii. Engaging in any other activity that we reasonably determine to be harmful to the safety, rights, property, or experience of Users or the integrity of the Platform or an authorized third-party vendor platform.

 

11. DISPUTES

If something goes wrong:

I. Either user can report an issue directly from the Take screen.

II. Both sides can upload photos, chats, or other proof.

III. Our support team will review and decide whether payment should go fully to the Taker, refunded to the Poster, or split.

IV. Decisions aim to be resolved within X days (to be defined by legal).

Takers’ decision is final for platform purposes, but users can still seek external legal remedies if they choose.

12. AUTO-APPROVALS AND TIME LIMITS

I. When a Taker marks a Take as “Completed,” the Poster has X days to review it.

II. If the Poster doesn’t take action within that time, the system auto-releases payment to the Taker.

III. This protects both sides and keeps the workflow moving.

13. WALLET AND WITHDRAWALS

I. Takers’ wallets show available balance, pending payments, and transaction history.

II. Once payment is released, Takers can withdraw funds to their linked account.

III. Withdrawals are processed by Paystack or our payment provider and may take 1–3 business days.

14. RATINGS AND REVIEWS

After a Take is completed, both users can rate and review each other.

I. Reviews should be honest and respectful.

II. We may remove reviews that include hate speech, threats, or personal data.

III. Consistently low ratings may affect a Taker’s visibility or eligibility for special programs like Active Super Taker’ status.

15. REPORTING, SUSPENSION, AND BANS

We may suspend or ban users who:

I. Repeatedly cancel after being assigned.

II. Miss deadlines often.

III. Engage in fraud, harassment, or unsafe behaviour.

IV. Attempt to bypass our payment system.

V. Post illegal or inappropriate tasks.

VI. Violates any of the prohibited activities.

Suspended users can appeal through support.

16. CONTENT OWNERSHIP

I. You keep ownership of any content you upload (photos, descriptions, etc.), but you give Takers permission to display it in the app.

II. The Takers name, logo, and app design belong to Takers and Paragraph Ltd.

17. PLATFORM FEES AND TAXES

Fees for each completed Take will be automatically deducted as specified in the app. Users acting as Takers are responsible for complying with all applicable tax laws, including income tax, value-added tax (VAT), and any other taxes required by the relevant tax authorities in their jurisdiction. Posters will be shown all fees and costs associated with a Take before confirming and making payment.

18. DISCLAIMER AND LIMITATION OF LIABILITY

Disclaimer

We act solely as a neutral intermediary that connects Posters with Takers. We do not provide, control, or guarantee the quality, safety, legality, or suitability of any services offered or provided through the Platform. All services are performed by independent Users who are solely responsible for their own actions, omissions, and conduct.

We do not endorse, warrant, or guarantee any User, service, or transaction. Any reliance you place on information, services, or communications available through the Platform is strictly at your own risk. We expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Limitation of Liability

To the fullest extent permitted by applicable law, we, our affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, goodwill, data, use, or other intangible losses arising out of or related to:

I. Your use or inability to use the Platform or any of its features;

II. Any transactions, interactions, or disputes between Users;

III. Any services provided or contracted through the Platform;

IV. Any unauthorized access to or alteration of your communications or data;

V. Any errors, omissions, interruptions, defects, delays, or failures of the Platform or its services;

VI. Any loss or damage resulting from reliance on information available on the Platform.

Indemnification

You agree to indemnify, defend, and hold harmless Takers and Paragraph Limited and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, violation of these Terms, or infringement of any rights of a third party.

No Liability for Third Party Services

Takers and Paragraph Limited may employ the services of third-party services, products, content, that may be accessed or used via the Platform. Any dealings or disputes you have with third parties are between you and that third party. You understand that your use of any Third-Party Service is not governed by this Agreement. If you decide to use a Third-Party Service, you will be responsible for reviewing, understanding and accepting the terms and conditions associated with its use. We expressly disclaim all responsibility and liability for your use of any Third-Party Service and you shall be liable for all loss, damage and liability resulting from your use of such third-party services.

19. FORCE MAJEURE

Takers and Paragraph Limited shall not be in breach of any obligations under this Agreement or be responsible for any delay in carrying out its obligations if performance is prevented or delayed wholly or in part as a consequence of force majeure. 

 

20. BREACH OF THESE TERMS

Without prejudice to our rights under these Terms, if You breach these Terms in any way, We may take such action it deems appropriate to deal with the breach, including suspending Your access to our services, prohibiting You from accessing Our Services, or bringing court proceedings against You.

 

21. GOVERNING LAW

These Terms shall be interpreted and governed in accordance with the Laws of the Federal Republic of Nigeria, and You submit to the non-exclusive jurisdiction of the Courts located in Nigeria for the resolution of any dispute.

22. DISPUTE RESOLUTION

You agree that any disputes or claims that You may have against Us will be (except as stated below) finally and exclusively resolved by Mediation. Any election to mediate by one party shall be binding on the other. The Mediation proceeding shall be commenced and conducted under the Arbitration and Mediation Act 2023. Each Party shall individually bear the cost of mediation.

23. CHANGES TO TERMS AND CONDITIONS

We reserve the right to change, revise or modify these Terms from time to time by updating this page. The changes will not be retroactive, and the most current version of the Terms will always be on this page and will continue to govern Our relationship with You. By continuing to use Our Services after the changes become effective, You agree to be bound by the revised Terms.

At Takers and Paragraph Limited (“Takers”, “We," "Us," "Our”), We are committed to protecting your privacy and ensuring the security of your personal information. This Privacy Policy (“this Policy”) explains how We collect, use, disclose, and safeguard your information when you use Our Application. By using this Application, you agree to be bound by this Policy and any term referred to in this Policy.

“App” or “Platforms” means this mobile application operated by Takers and Paragraph Limited.

“Poster” means a registered User of the App who requires the services of a Taker.

Taker” means a registered User of the App who provides services to a Poster.

‘’Takes’’ refer to to available tasks, jobs, or service requests on the platform.

User," "Users," or "You" means any individual or legal entity registered on the Platform either as a Poster or Taker.

Your account", “Account” means the account the user registered, in order to use the App. 

 

3. INFORMATION WE COLLECT

We collect information in a few ways:

a. Information you provide: When you create an account, We may collect the following information from you:

i. Your name, email, phone number, and profile photo

ii. Verification details (ID, selfie, etc.) through Dojah, our trusted third-party verification partner

iii. Payment information (such as bank account details) to send or receive money

iv. Optional details like a bio, skill tags, or uploaded images when listing your services

b. Information we collect automatically When you use the app, we automatically collect:

i. Device information (type, OS, language, app version)

ii. Usage data (how you browse, tap, and interact with the app)

iii. Location data (approximate city or region, used to show nearby Takes)

iv. IP address and network logs (to prevent fraud and keep accounts secure)

c. Information from others

Our third-party vendors may collect your personal information to facilitate our services, including:

 

i. Identity verification results from Dojah (e.g., “verified,” “failed”)

ii. Payment confirmations or failed transaction notifications from Paystack.

iii. Feedback or reports from other users regarding your interactions on the platform.

 

When engaging with these third-party services, please review their respective privacy policies carefully, as their data handling practices are independent of our platform. Takers shall not be held liable for any loss, damage, or issues arising from the use of these third-party platforms.

 

We do not intentionally collect sensitive personal data (e.g., health information, religious beliefs) and request that you refrain from submitting such data. If sensitive data are provided, you have the right to request their erasure in accordance with the provisions of the Nigeria Data Protection Act 2023.

 

4. HOW WE USE YOUR INFORMATION

We use your information to:

i. Run the app safely – verify identities, prevent fraud, and ensure payments go to the right people.

ii. Enable transactions – manage escrow payments, transfers, and refunds through Paystack.

iii. Connect Posters and Takers – show you nearby Takes and recommend trusted users.

iv. Communicate with you – send confirmations, reminders, updates, and alerts about your Takes.

v. Improve Our Services – analyze usage patterns to fix bugs, improve features, and personalize the experience.

vi. Ensure compliance – meet legal obligations like tax or anti-fraud regulations.

 

We do not sell or trade your personal information to any third parties for marketing or commercial purposes. Your data are collected solely to provide and improve Our services, and any sharing of your information is strictly limited to trusted partners or service providers who assist Us in operating the app, always under strict confidentiality and in compliance with applicable data protection laws.

5. SHARING INFORMATION

We only share your information in limited cases:

a. With service providers

i. Dojah – for ID verification

ii. Paystack (or payment partner) – for secure payments and withdrawals

iii. Cloud and analytics providers – for hosting and performance monitoring

These partners only use your data to perform their specific functions.

b. With other users

When you interact with other users on the platform, certain information is shared to facilitate a transparent and trustworthy experience. Posters have access to a Taker’s profile information, including reviews and verification badges. Conversely, Takers can view a Poster’s profile name, reviews, and task history. To protect your privacy and security, we do not disclose sensitive personal information such as identification numbers, bank account details, or any other confidential data to other users.

c. When required by law

We may share data with authorities if legally compelled (for example, to investigate fraud or comply with a court order).

 

6. PAYMENTS AND ESCROW

Payments are securely processed through Paystack or other licensed Nigerian payment providers. We do not store your full bank or card details at any time. When a Poster makes a payment, the funds are held in escrow until the requested work is successfully completed. Once released, Takers can withdraw their earnings only to verified bank accounts. Any refunds are managed in accordance with the terms outlined in our Terms of Service.

 

7. DATA SECURITY

We implement reasonable security measures to protect your information from unauthorized access, alteration, disclosure, or destruction. All sensitive data are encrypted in transit and at rest and We use two-factor verification and monitor suspicious logins. Only authorized staff can access personal data when necessary to provide support or investigate issues. However, please note that no method of transmission over the Internet or electronic storage is 100% secure. Therefore, while We strive to use commercially acceptable means to protect your information, We cannot guarantee its absolute security. 

Please use strong passwords and report any suspicious activity to us immediately.

 

8. DATA RETENTION

We will retain your personal information for as long as necessary to fulfil the purposes outlined in this Privacy Policy unless a longer retention period is required or permitted by law. However, if you delete your account, basic information (like transaction history) may be kept for tax or fraud-prevention reasons for up to 5 years. All other personal details are removed from active systems.

 

9. CHILDREN'S PRIVACY

We do not knowingly collect personal information from people who cannot give consent or are under the age of 18, except as permitted by law. If you are a parent or guardian and you believe your child has provided Us with personal information, please contact Us immediately. If inadvertent collection occurs, We will promptly take steps to delete such information.

 

10. YOUR CHOICES AND RIGHTS

i. Access, Update and Delete: You have the right to access, update and or delete your personal information held by Us as permitted by law.

ii. Data Portability: You can request a copy of your data in a structured, commonly used, and machine-readable format.

iii. Withdrawal of Consent: You can withdraw consent at any time where consent is the basis for processing.

iv. Marketing Communications: You can opt out of receiving promotional emails from Us at any time.

11. COOKIES AND ANALYTICS

We use small files called cookies and similar technologies to:

I. Remember your login,

II. Track app performance,

III. Measure engagement (like how often you open Takers).

You can disable cookies in your phone settings, but parts of the app may stop working correctly.

 

12. COMMUNICATIONS

We may send you:

i. Transactional messages (e.g., Take updates, payments, verification alerts)

ii. Service notifications (e.g., maintenance, policy updates)

iii. Promotional messages (e.g., new features or rewards) You can opt out of these at any time.

13. GOVERNING LAW

This Privacy Policy is made according to the Nigeria Data Protection Act (NDPA), 2023 and other relevant laws, regulations, or international conventions applicable to Nigeria. By using Our Platform, you acknowledge that you have read this Privacy Policy and consent to the collection, use, disclosure, and retention of your information as described herein.

We may update this Privacy Policy from time to time to reflect changes in Our practices or legal requirements. We will notify you of any material changes by posting the updated Privacy Policy on the App or by sending you a notification.
